Visitor Non-disclosure Agreement Hi! Thanks for visiting Auterion. We're asking you to sign this agreement in order to memorialize your understanding of what comprises of our confidential information, what you can and cannot do with it, and certain other rights and restrictions with respect to your visit to our facilities. Please carefully review this agreement. By signing below, you acknowledge and agree that you have read all of the terms contained herein and you agree to be bound by all of the terms of this agreement. These terms constitute a legally binding agreement between you and Auterion AG, Edenstrasse 20, 8045 Zurich, Switzerland ("Auterion"). It is agreed as follows: Confidential Information. "Confidential Information" means all information disclosed (whether in oral, written or other tangible or intangible form) by Auterion to you (or otherwise learned by you) concerning or related to Auterion or your visit to our facilities, which you know or should know, given the facts and circumstances surrounding the disclosure of the information, is the confidential information of Auterion or any company within the same group as Auterion including without limitation its parent company and any holding companies or subsidiaries ("Group Companies"). It includes, but is not limited to, any and all technical or business information, its operations, financial information, personnel information, inventions, know-how, show-how, products, and trade secrets or software of Auterion and any other information that is identified as being of a confidential or proprietary nature. Confidential Information does not include information that (a) was already public before you received it, or (b) becomes publicly known as a direct or indirect result of your (or someone else's) unauthorised inaction or action. You can disclose Confidential Information if you're required to do so by law, so long as you tell us first and give us a chance to protect it from being disclosed (to the extent permitted by law). If you are unable to inform Auterion before Confidential Information is disclosed in these circumstances, you shall to the extent permitted by law, inform Auterion of the full circumstances of the disclosure and the information that has been disclosed immediately after such disclosure has been made. You acknowledge and agree that, in addition to any other remedies that may be available to Auterion at law, in equity, or otherwise, Auterion will be entitled to obtain injunctive relief against any threatened breach of this agreement or the continuation of any such breach, without the necessity of proving actual damages and without the necessity of posting a bond (or other security). In return for making the Confidential Information available to you, you undertake not to (a) share any Confidential Information with any other person or entity; and/or (b) use or exploit any Confidential Information for any purpose other than participating in an event or meeting at, or evaluating a business opportunity with, Auterion. You will also protect any Confidential Information you have or receive with care and will not copy or record any of it. If asked, you'll destroy, irrevocably erase and/or return any Confidential Information you have to Auterion and Auterion may request that you confirm in writing that you have complied with your obligations in this regard. Nothing in this agreement is intended to grant any license or rights to you under any patent, copyright, trade secret or other proprietary or intellectual property right in any works or products belonging to Auterion or any of its Group Companies. All Confidential Information is provided "as is" without any warranties (express, implied or otherwise) including but not limited to the accuracy or completeness of the Confidential Information. You also agree that you will establish and maintain adequate security measures (including any reasonable security measures proposed by Auterion at any time) to safeguard any Confidential Information. Your confidentiality obligations under this agreement will apply for an indefinite period and until such information becomes publicly known (save for where this is as a result of your (or someone else's) unauthorised disclosure of the Confidential Information. NOTE: In the event that you, or the company that you represent, have previously signed a confidentiality agreement with Auterion (a "Prior NDA"), and that Prior NDA (a) covers your visit today (including, without limitation, the purpose of your visit), and (b) has not expired as of today's date, then, in the event of any conflict between the terms of this agreement and the terms of the Prior NDA, the terms of the Prior NDA will govern your visit. NO PHOTOGRAPHS AND/OR SOCIAL MEDIA. We are glad you are here—but, unless you have prior written permission from a member of Auterion's executive team, please do not take any photos or videos while you are in Auterion's facilities (including in our lobby and waiting area) or post anything about your visit on social media (including, without limitation, on Facebook, Twitter, Instagram, LinkedIn, etc.). Feedback. All suggestions, comments, ideas, concepts or other feedback provided by you to Auterion with respect to Auterion and/or Auterion's products, services, business or industry ("Feedback") will also constitute Confidential Information. Auterion will be free to use, disclose, reproduce, license and otherwise distribute and exploit the Feedback provided to it as it sees fit, entirely without obligation or restriction of any kind on account of intellectual property rights or otherwise, and you will not assert against Auterion (or any of its Group Companies, subsidiaries, assigns, officers, directors, agents, consultants, representatives or employees (collectively, "Representatives")) any claim based on plagiarism, infringement, confidential relationship, implied contract, unfair competition or otherwise arising out of any use of the Feedback. Identification Badge. You may be issued a Auterion identification badge (your "Badge") which must be visible on your person at all times while at our facilities. Any lost or stolen Badges must be immediately reported to the front desk. Please surrender your Badge to the front desk as you leave. Construction Zone. The Auterion facilities you are visiting may be an active construction zone that requires special safety and security observances. If necessary, personal protective equipment will be provided by Auterion based on the specific areas you will be accessing at the facilities. While on site, you will be expected to wear your personal protective equipment at all times and strictly follow all posted signage, placards and construction management instructions. Liability Waiver. You, for yourself, your heirs, personal representatives or assigns, release, waive, discharge and covenant not to sue Auterion or its Representatives and further agree to indemnify Auterion and its Representatives from liability for any and all claims resulting from your personal injury, accidents or illnesses (including death) arising from your visit to our facilities. General. You may not assign, transfer, mortgage, charge, subcontract, declare a trust over or deal in any other manner with any of your rights and obligations under this agreement. No variation of this agreement shall be effective unless it is in writing and signed by both of the parties (or their authorised representatives). Auterion may assign its rights under this agreement. This agreement together with any Prior NDA constitutes the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understanding between them, whether written or oral, relating to its subject matter. Each party agrees that it shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this agreement. Each party agrees that it shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in this agreement. Other than for the benefit of any of Auterion's Group Companies where referred to within this agreement or any Prior NDA, this agreement does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce the terms of this agreement. This agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it (or any Prior NDA) shall be governed by and construed in accordance with the laws of Switzerland. Each party irrevocably agrees that the courts of Switzerland shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this agreement (or any Prior NDA) or its/their formation and subject matter. Failure to enforce any aspect of this agreement is not a waiver to do so later. If any provision of this agreement is determined to be illegal or unenforceable, that provision will be interpreted to the maximum extent possible given the intent of the parties, or eliminated so that this agreement will otherwise remain in full force and effect and enforceable.
